2. EXPEDITED (1 TO 2 DAYS) FORMATION: RECEIVE FORMATION DOCUMENTS BY EMAIL IN 2 BUSINESS DAYS
If you order before 1 PM Central Time any business day during this promotion, your entity's formation date should be Expedited (1 to 2 days) barring any issues from State of Texas. The formation confirmation documents (Certificate of Formation/ Articles) will be sent by email immediately upon receipt from state of Texas (usually in 2 business days).
Please note that State of Texas may delay formation due to reasons beyond our control.
3. STATE REGISTRATION FEES ARE INCLUDED
The price includes State of Texas filing fees to register the entity. Therefore, it includes: State Certificate of Formation/ Articles filing fee to form the entity. On top of that it also includes other features as listed below.
4. INSTANT FEDERAL TAX ID (EIN)
There is no fee to be paid to obtain the Tax ID (EIN) from the IRS. We will provide you the guidelines to obtain it direct from the IRS instantly (you do not need to send us your SSN, just submit it to the IRS to obtain the Tax ID).
5. AFTER WE RECEIVE YOUR ORDER
- We will complete name availability search and file the Certificate of Formation with State of Texas to register the entity. If none of the names you want is available to register we will inform you.
- Barring any issues from State of Texas the formation date should be the same date if your order is received before 1 PM CDT any business day.
- You should receive the state formation confirmation documents by email in 2 business days, unless state of Texas delays it for reasons beyond our control.
6. AFTER YOUR ENTITY IS FORMED
- Barring any issues from Texas Secretary of State the formation confirmation documents should be sent to you by email in 2 business days.
- The documents will include the following:
ο State of Texas Certificate of Filing (Certificate of registration from Texas Secretary of State)
ο A Certificate of Formation containing the filed Certificate of Formation. - We will provide the information to register your business for taxes with State of Texas as well as for employer contributions for unemployment and disability, online. We will also provide information to obtain temporary certificates of authority for sales tax.
7. REQUIREMENTS AFTER THE CORPORATION IS FORMED
- If you are registering a corporation, after the corporation is formed, an organization meeting must be held for the purpose of adopting the by-laws, electing directors and transacting any other business. We will provide you the initial meeting minutes and the sample ByLaws.
- The corporation is required to keep correct and complete books and records of account and must keep minutes of the proceedings of its shareholders, board of directors meetings. We will provide the sample meeting minutes to do so.
- The corporation must also keep a record containing the names and addresses of all shareholders, the number of shares (and class of shares - if any) held by each shareholder and the dates when they respectively became the owners of record thereof. We will provide stock ledger to do so.
- In addition, a meeting of shareholders must be held annually for the election of directors and the transaction of other business on a date fixed by or under the by-laws. We will provide you the sample meeting minutes for annual meeting. Please note that the by-laws are not required to be filed with the Texas Secretary of State or any other state agency. These are internal documents maintained by the corporation.
